Just when you thought the World’s Largest Cheerleading & Dance Nationals couldn’t
get any larger… Introducing the CHEERSPORT EXPO 2010.
The CHEERSPORT EXPO 2010 will be attached to the World’s Largest Cheerleading &
Dance Nationals in Atlanta, Georgia, February 5-7 held in the Georgia World Congress
Center. The 2009 CHEERSPORT Nationals had over 800 teams, 20,000 competitors,
3,000 coaches and 75,000 spectators – there is not another competition, media outlet
or coaches conference that will put your direct customers in your hands like the
CHEERSPORT Expo.
This Expo is designed specifically for cheerleaders, dancers, parents and coaches. It is
free to the public with admission to the competition. As a vendor, you will be able to
make a face-to-face contact with the leading decision makers in the business. Held in
a 200,000 square foot arena, there will be vendor booths, Coaches Registration, the
CHEERSPORT Leader Board, the CHEERSPORT Competitor Gift Booth, the Food
Court, live performance screens for all 9 Arenas – so no one will miss the action. The
Expo will also have performances from the top College Teams And ‘So You Think You
Can Tumble’ contest and so much more. This Expo is an event in itself and cannot be
missed by anyone in the business!

Profile:
Allstar cheerleading is a team sport combining gymnastics, dance and traditional cheerleading
stunts. Many of the participants start out in gymnastics but move over to competitive cheerleading because it is more forgiving of different body types and does not require the 25 to 40 hours a
week necessary to compete in gymnastics.
Because competitive cheerleading and dance is a very expensive sport, most participants come
from middle to upper class families with significant disposable income. The cost of the sport
varies widely but a conservative estimate of the average cost per athlete would be approximately
$2000 per year. This does not include family travel expenses.

Vendors who have been selected will be notified by December 1, 2009.
Exhibitors have until December 15, 2009 to accept and confirm space.
A 50% deposit will be requested from exhibitors once space confirmation is made.
The deposit must be made by cash or check and received no later than December 18, 2009 to confirm space.
Final deposit is due January 15, 2010. no refunds.
2010 Vendor booth Space rental prices:
prices have not been released yet for this show. the 2009 10’x10’ rental ranged from $2,500.00 - $3,500.00.

This Exhibitor Contract (the “Contract”) is made by and between CHEERLOGISTICS
and the company (hereinafter “Exhibitor”) set forth below and is subject to the terms
and conditions set forth herein. Upon execution of this Contract, Exhibitor / Vendor
agrees to pay the non-refundable Exhibit Fee checked below in full subject to
payment terms and the cancellation policy set forth below.

Exhibitor / Vendor Contract
CHEERLOGISTICS Expo 2009 Exhibitor / Vendor agrees to the following terms and conditions:

Exhibitor Kit: Will be provided to all
Exhibition Rules: CHEERLOGISTICS (the management company), and their respective agents and representatives
(collectively “CHEERLOGISTICS”) reserve the right to make changes to the Exhibition, including dates, times and
location. CHEERLOGISTICS shall: (a) make commercially reasonable efforts to inform Exhibitor of any changes
within a reasonable timeframe; and (b) not be liable for damages arising from such changes.
3.
Assignment: Exhibitor shall not assign, share or sublet all or any portion of the allocated exhibit space nor assign or
transfer any of its rights or obligations under this Agreement without prior written permission from
CHEERLOGISTICS, which permission shall be in the sole discretion of CHEERLOGISTICS. Exhibitor shall submit any
request for assigning, sharing or subletting exhibit space in writing to CHEERLOGISTICS no later than Jan.15, 2009,
which request shall set forth the name of the company (ies) or organization(s) and a summary of the arrangements.
Exhibitor acknowledges and agrees that, for failing to obtain permission as set forth in this Section 2,
CHEERLOGISTICS reserves the right to impose liquidated damages in an amount equal to the number of additional
non-approved companies in Exhibitor’s space multiplied by the total value of Exhibitor’s space rental fee as
calculated by CHEERLOGISTICS based on the current price list for exhibition space. Exhibitor agrees to pay such
liquidated damages within thirty (30) days of written notice from CHEERLOGISTICS.
4.
Disturbance: Upon request from CHEERLOGISTICS, Exhibitor shall remove any exhibit (or element thereof) that, in
CHEERLOGISTICS’s sole discretion, is deemed objectionable, unsafe or detracts from the Exhibition because of
noise, method of operation, or any other reason. Exhibitor agrees not to display nor offer for sale at the Exhibition
any products, services, or promotional materials that (a) infringe the intellectual property or other rights of
CHEERLOGISTICS or other third parties; or (b) disparage or depict CHEERLOGISTICS or any other Exhibitor or
exhibitor in an objectionable manner as determined by CHEERLOGISTICS in its sole discretion. CHEERLOGISTICS
reserves the right to remove any such exhibits (or element thereof) in its sole discretion. In any case,
CHEERLOGISTICS shall not be liable for any refund or other expenses incurred by Exhibitor.
5.
CHEERLOGISTICS Expo 2009 Contractors: For its exhibit, Exhibitor agrees to provide and/or install its own
tradeshow booth, computer equipment, collateral, and technical resources and tradeshow as more fully described in
the Exhibitor Kit Guidelines. CHEERLOGISTICS has designated official third-party contractors, vendors and service
providers (collectively, “CHEERLOGISTICS Contractors”) to provide certain products and/or services for Exhibitors
and exhibitors at the Exhibition (as set forth in the Exhibitor Kit Guidelines) at then prevailing rates of such
CHEERLOGISTICS Contractors, including, without limitation, drayage, machine moving, garbage, machinery
erection, furniture, Exhibitor and floor decorations, signs, photos, telephone and Internet services, computer and
audio/visional equipment, electricians, and guard services. Exhibitor authorizes CHEERLOGISTICS to provide contact
information (including, without limitation, contact name, telephone number, fax number and email address) to such
CHEERLOGISTICS Contractors for purposes of soliciting such products or services. Exhibitor may engage contractors
and vendors other than CHEERLOGISTICS Contractors to provide products and/or services only with the prior
written approval of CHEERLOGISTICS, which approval shall not be unreasonably withheld. CHEERLOGISTICS
assumes no responsibility or liability for any of the products and/or services delivered by Convention Contractors or
non-Convention Contractors.
6.
Compliance: Exhibitor agrees to comply with all applicable Federal, state and local laws and regulations as well as all
union contracts in effect among CHEERLOGISTICS Contractors, the Georgia World Congress Center and various
labor organizations. Exhibitors must be in full compliance with the Americans with Disabilities Act.

Insurance: Exhibitor agrees to acquire and maintain insurance coverage as set forth in the Exhibitor Kit Guidelines.
Exhibitor acknowledges and agrees that CHEERLOGISTICS does not maintain insurance covering Exhibitor’s property
and it is the sole responsibility of Exhibitor to obtain such insurance.
8.
Competing Events: During the period from February 13-15, 2009, Exhibitor shall not independently reserve space or
otherwise Exhibitor or host an event within five (5) miles of the Exhibition for the purpose of holding a hospitality
suite, seminar or any other promotional or educational activity without the prior written consent of
CHEERLOGISTICS, which consent shall not be unreasonably withheld. Exhibitor acknowledges and agrees that
events that conflict with previously scheduled CHEERLOGISTICS Expo 2009 activities shall be one reason
CHEERLOGISTICS to withhold such consent. All Exhibitors must be completely show ready no later than 10:00am on
Friday, February 13, 2009 and completely moved out of the GWCC by 1:00am on February 16, 2009. Breakdown
cannot start until CheerLogistics gives you the go ahead on February 15, 2009.

Payment Terms: Upon execution of this Exhibitor Contract, Exhibitor agrees to pay the Fee checked above subject to
Section 9 (Cancellation) below. A payment is being due in no later than January 22, 2009 in full along with this
contract. If the contract and payment are not received on or before January 22, 2009 exhibitor will no longer be
eligible for the space. Notwithstanding the foregoing, in no event shall Exhibitor be permitted to move in or set up
participate in the Exhibition unless this Exhibitor is paid in full by January 22, 2009, CHEERLOGISTICS reserves the
right to cancel and/or-re-assign Exhibitor locations if payments are not received when due without prior notice.
10. Cancellation: Exhibitor may cancel this Contract, without penalty, by providing written notice of the cancellation to
CHEERLOGISTICS Expo 2009, 11010 Monroe Road, Suite B, Matthews, NC 28105, on or before January 22, 2009,
After January 22, 2009, Exhibitor Fee is not refundable for any reason. Exhibitor may cancel this Contract at any
time by providing written notice to CHEERLOGISTICS. Cancellation will result, however, in forfeiture of all fees paid
to date and will not release Exhibitor from liability to pay the Exhibitor Fee in full.
11. Force Majeure: Neither party shall be held responsible for any delay or failure in performance of its obligations
hereunder to the extent such delay or failure is caused by fire, flood, strike, civil, governmental or military authority,
acts of God, acts of terrorism, acts of war, epidemics, the availability of the Georgia World Congress Center or other
similar causes beyond its reasonable control and without the fault or negligence of the delayed or non-performing
party or its subcontractors.
12. Limitation of Liability: CHEERLOGISTICS shall not be liable to Exhibitor for any damage, loss, harm or injury to
Exhibitor or its property or business resulting from fire, accident, insufficient participation or any other reason in
connection with the Exhibition. CHEERLOGISTICS SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE

INCURRED BY EXHIBITOR, WHETHER IN ACTION IN CONTRACT OR TORT, EVEN IF CHEERLOGISTICS HAS BEEN
ADVISED OF THE
13. POSSIBILITY OF SUCH DAMAGES. CHEERLOGISTICS’S ENTIRE LIABILITY FOR DAMAGES HEREUNDER SHALL IN NO
EVENT EXCEED THE AMOUNT OF FEES PAID BY EXHIBITOR UNDER THIS CONTRACT.
14. Indemnification: Exhibitor agrees to indemnify, defend and hold CHEERLOGISTICS and their respective directors,
officers, employees and agents harmless against all claims, demands, costs, liabilities, losses or damages (including
all reasonable attorneys’ fees) to persons or property, arising out of or caused by (a) Exhibitor’s installation,
removal, maintenance, occupancy or use of the Exhibitor’s exhibit at the Exhibition or (b) the gross negligence and
willful misconduct of Exhibitor and its employees, agents or representatives.
15. Miscellaneous: This Contract constitutes the entire understanding between CHEERLOGISTICS and the Exhibitor with
respect to the subject matter hereof. Terms and conditions set forth in any purchase order or other document
provided by the Exhibitor to CHEERLOGISTICS that differ from, conflict with, or are not included in this Contract
shall not be part of any agreement between CHEERLOGISTICS and the Exhibitor unless specifically accepted by
CHEERLOGISTICS in writing. No failure or delay by any party in exercising any right and remedy shall operate as a
waiver thereof, and a waiver of a particular right or remedy on one occasion shall not be deemed a waiver of any
other right or remedy or a waiver on any subsequent occasion.
IN WITNESS WHEREOF, this Contract has been duly executed by the parties as of the latest date set forth below.
