CAMPUS, MUSSOORIE 11 are invited by the undersigned for selecting a vendor for the year 201516, which will be extendable up to three years based on satisfactory delivery of AMC services in
Audio Video equipments, IP-PBX and Photocopy Machines for the lecture halls, Conference halls
Auditorium and offices of LBSNAA. It is however clarified that both the numbers and specifications of
all equipments are indicative and likely to either decrease or increase slightly, depending on the
perceived needs of LBSNAA.

Section 'A'
Bid System and Instructions for Submission of Tender
Al.
Bids are invited in two Bid systems i.e. (1) Technical and (2) Financial. These shall be sealed
separately and these two will be enclosed in a separate single sealed envelope (Main
envelope).

a) · The original tender document must be duly signed and stamped by the authorized signatory
on each page.
b), The bidder shall indicate the prices as mentioned in ANNEXURE-X.
c) The rate must be stated in words and figures. If there is discrepancy between the price
quoted in word and figures, the price quoted in words would be treated as final.
d) The price quoted by the tenderer should be firm and applicable taxes such as service tax,
VAT tax should be mentioned separately. The applicable taxes should be· on actual basis as
. per government norms.
e) No tenderer shall be allowed to revise its price quot~d in the Financial Bid.

Envelope No.1 (Technical Bid- Prequalification}: The technical bid shall not have the price
portion but must include all the required '\,information in Annexure IV, V, VI and X . It shall
contain the bid security/ EMO. Department will open these bids as per schedule, Technical
. evaluation of the bid will be done internally by Technical Committee of LBSNAA. Technically
eligible bidders obtaining 60 marks or more in the technical evaluation process will be called
· , for financial bid opening as per the scheduled date and time. Financial bids of only those
bidders who are technically qualified will be openep.

Enve.l ope No.2 (Financial Bid):- It should contain all the information in Annexure VII, VIII and
IX. Price should not be indicated in any of the documents except in Envelop 2. Indication of
price bid anywhere else will render the bid. disqualified.
AS:
All the sealed Envelops thus prepared should also indicate clearly the name and address of
the bidder to enable the bid to be returned if required.

Contents of all the inner envelops must be tied I bound securely.

The vendor must bear all the costs associated with the preparation and submission of the
bid and purchaser will in no case be responsible or liable for those costs, regardless of the
conduct or the outcome of the tendering process.

Section 'B'
General Terms and Conditions
B-0 : Project Profile
Lal Bahadur Shastri National Academy of Administration (LBSNAA), Mussoorie is an institute of the
Central Government under the Department of Personnel & Training, Ministry of Personnel, PG &
Pensions. It is situated at Mussoorie, District Dehradun and undertakes the training of the IAS
Officers and Probationers of the All India and Central Services selected through the UPSC.
LBSNAA is looking for a service provider for AMC services for the year 2015-16 for the
Audio & Video, IP-PBX and Photocopy Machines, indicative list mentioned at section "E".
B-1:
General Responsibilities of the Bidder:
The bidder should indicate with proposed strategies of the service at LBSNAA in addition to
those listed below:
1.
The bidder shall provide the AMC services as per SLA (Section 'D') of the Tender.
2. The Complaints will be informed telephonically as well as through e-mail by the Academy to
the. Vendor or their authorized representatives. The selected firm shall be maintaining
repairing record and the same will be submitted to Academy bi- monthly with detail of parts
changed/ repaired, and other works done. Machine-wise history for each machine should
also be generated and maintained.
3. The selected firm shall depute a person from the top management for a day in every quarter
for review meeting with LBSNAA Management for reviewing the quality of AMC services and
technical issues. For non arrival of the representative in every quarter a penalty of Rs.5000/shall be levied.
4.
The selected firm shall have to provide scheduled ·preventive maintenance once in three
months for all the components, or corrective a~cl remedial maintenance services to set right
the malfunctioning of the system. This includes replacement of serviceable parts,
unserviceable parts, Consumable parts anti non-consumable parts if required. The parts
replaced will either be a new part or equivalent in performance to new parts. Whether a
defective item or component is to be replaced or repaired shall be at the sole discretion of
the selected firm. In the case of a part, the defective part removed from the system will
become the property of the selected firm. Servicing of all Consumable/non-consumable
parts will be done by the vendor. Consumable par('s will be the parts defined consumable by
the OEM of the equipment. The consumable parts will be provided by the Academy as per
the OEM norms.
5.
The AMC rates mentioned in this contract for the year 2015-16 will be valid for three years
period from the date of agreement. This contract will be for a period of one year which may
be renewed for a further period of one year at a time and maximum for three years,
provided LBSNAA is satisfied with the services of selected service pr vider. The rates are to
be submitted in Financial Bid (Annexure-IX). LBSNAA will have right

contract at any time by giving one months' notice in writing if services are not found
satisfactory.

B-2 :
1.
New equipments purchased by LBSNAA will be included in AMC with no additional charges
as soon as the warranty expires or after the expiry of the common date of warranty, if the
equipment is purchased in lots over a period. This will be done through Addendum signed by
LBSNAA and service provider.
Earnest Money Deposit
Earnest money in the form of Demand Draft/FDR/Banker's Cheque or Bank Guarantee valid
for 210 days for Rs 50,000/- (Rupees Fifty thousand only) from any Nationalized/Scheduled
Bank drawn in favour of Director, Lal Bahadur Shastri National academy of Administration,
Mussoorie has to be submitted along with the bid.
2. Tender not accompanied with prescribed earnest money deposit will be rejected summarily.
3.
The EMO of the unsuccessful vendors shall be refunded after final acceptance of the tender
and within reasonable time after opening of the tender. The EMO will carry no interest.
4.
After the award of tender to successful vendor the EMO of the successful vendor will be
refunded on submission of Performance Bank uuarantee equivalent to 8% of the annual
contract value.
5. The EMO will be forfeited if the successful vendor withdraws his offer or any clause of his
offer/tender, if such withdrawal adversely affects the interests of LBSNAA.
B-3:
Eligibility Criteria of the Vendor (Pre-Qualification)
The following are compulsory cond itions that have to be satisfied failing which the offer will
not be considered. Papers will have to be supplied with the tender in proof thereof.
1. The bidder must have country wide infrastructure support in the form of direct service
centers or franchisees in at least 3 (Three) States/UTs. The bidders must enclose details of
their infrastructure with reference to locations, availability of inventory of spares etc.
2. The Registration number of the firm along· with the CST/TIN/TAN No. allotted by the Sales
Tax Authorities, as well as PAN num ber of the. firm allotted by the Income Tax authorities
should be submitted, failing which vendor's oid would become invalid and same shall be
rejected.

The bidder should be a Ltd./Pvt. Ltd. Company (Public) registered with Service tax
department of the Government. Enclose attested copy of the valid Registration No.
4.
The bidder should be ISO Certified Company for Quality Management System.
5.
Availability of at least ten (10) well trained Audio/Video/ IP-PBX/Photocopy Machine
Engineers on the roll of Company. They must be qualified with Diploma/IT! in Electronics and
Communication Engineering.
6. (a) The bidder have to submit at least 2 (Two) References from customer bases where 10 or
more Lecture halls/Conference halls and 1 or more Auditoriums are presently on AMC of
AV equipments & Electronic Stage lights with the firm.
(b) The bidder have to submit at least l(one) Reference from customer base where IP-PBX
exchange with 100 or more IP extension~ is presently on AMC with the firm.

(c) The bidder have to submit at least 2 (two) Reference from customer base where
photocopy machines/MFDs are presently on AMC with the firm.
The Satisfactory Service certificate from the above clients should be submitted by the
bidder.
7.
(a) The bidder should have as a client the specified Govt/PSU/other specified institutions in
India where 5 or more Lecture halls/Conference halls and 1 or more Auditoriums are
presently on AMC of AV equipments and Electronic stage lights with the firm .
(b) The bidder should have as a client the specified Govt/PSU/other specified institutions in
India where IP-PBX exchange with 100 or more IP extensions is presently on AMC with the
firm .
(c) The bidder should have as a client the specified Govt/PSU/other specified institutions in
India where photocopy machines/MFDs are presently on AMC with the firm.
The Satisfactory Service certificate from the above clients should be submitted by the
bidder.
8.
The service- support infrastructure/ Repair lab should be available in nearest area such as
Dehradun/Delhi/NCR/Chandigarh/Lucknow /400 Km by road distance from Mussoorie.
· 9. The bidder has to submit the proof of being in business for last 5 years in AMC.
10. The vendor has to commit a service level agreement to provide the services as per terms and
conditions in para 'B-1' point No. 1 of Section 'B'.
11. Vendor should have minimum yearly turn-over of Rupees 10 Crores in AMC Business in each
of last three financial years 11-12, 12-13 and 13-14.
B-4:
Bid Selection Critaria
Stage 1: LBSNAA will open all the Bids on the date, time and the place specified in the
Tender document. Ihe bid (MAIN ENVELOPE AND ENVELOPE 1- conta ining Technical BidPrequalification) will be opened in the presence of bidders' representatives, who choose to
attend the same. The bidder or bidders' representatives present there, shall sign a register
evidencing their attendance. In the event of date of opening of the tender being declared as
closed holiday for Central Government offices, the bids will be opened on the following day
at the same time. Envelope 2 (Finan cial Bids) will.not be opened at this stage.
Stage 2: Technical bids of Bidders wh()li. satisfy Pre-Qualification criteria will only be
considered. A bidder should secure mandatorily minimum 60% marks (i.e. 60 marks out of
total 100 marks as per criteria given in stage 3 below) in Technical Evaluation in order to be a
qualified bidder for being eligible for Technical weightage and subsequently for opening of
Financial bids.
Stage 3: The Technical bid evaluation shall be done based on the following criteria. During
the technical evaluation stage each bidder shall be assigned marks out of total 100 marks, as
per the criteria specified below:

Stage 4: Only the financial bid of the technically qualified bidders will be opened on the date
and time fixed by LBSNAA, Mussoorie which will be informed in writing. The financial bid of
those bidders disqualified at technical stage shall not be opened.
B-5 :
Bid Criteria & Award of Contract
1.
LBSNAA will award the Contract to the successful Bidder whose bid has been determined
to be substantially responsive and has been ~etermined as the best evaluated bid
provided further that the Bidder is determined to be qualified to perform the Contract
satisfactorily. The evaluation will be for the- total bid value of all the category and not
for individual category in the details gwen in Schedule of Requirement in Annexure-Vlll.
The total bid value will be as calculated on the basis of the rate quoted for AMC.
2. The contract shall be awarded to the bidder with the Lowest quoting vendor (LQ-1) from
the panel on the basis of lowest financial bid of the system with all components.
B-6 :
Implementation Plan
1. From the date of formal engagement, one week before an advance team of three to four
experts will be deputed to LBSNAA for handling over the project.

In case of intermittent failures and repetitive problems due to improper diagnosis or
repair, the system will be treated as continuously down and penalty will be imposed as
per SLA terms and conditions mentioned in Section D.

In case any of the underground AV cable/network is failure by any reason, the repair
work has to be undertaken by the bidder in coordination with the CPWD electrical wing.
4. The manpower placed for servicing/handling equipment's will ensu.re that installed ·
equipment's should be properly switched OFF/Shut down.

B-7:
Physical damage during the servicing/mishandling of any equipment by the vendor's
engineer will be the responsibility of bidder to right up the same.
Depositing The Tender
1. Bid must be received by LBSNAA at the address specified in Section 'A' not later than
1500 hrs on 02/07 /2015 as specified in Tender document. In the event of the specified
date for the submission of bids being declared holiday for the purchaser, the bids will be
received up to the appointed time on the next working day.

Late tender: Any tender received after the stipulated date and time of submission as
mentioned in the tender notice, will not be considered.
Notification of Award
Prior to the expiration of the period of bids validity, LBSNAA will notify the successful Bidder
in writing by letter, email or by FAX, to be confirmed in writing by speed post or hand
delivered letter, that its bid has been accepted. The notification of Acceptance will
constitute the formation of the Contract.
B-9 :
Signing of Contract
Upon the receipt of the notification of award by the su.ccessful bidder, the successful bidder
shall fill the Deed of Agreement in accordance with Form of Agreement included in the Bid ·
Documents at ANNEXURE-X and submit the same to the Administrative Officer within 10
days of the date of receipt of notification of award. The Administrative Officer shall return
the draft duly approved within 10 days from the receipt of the draft and the successful
bidder shall get the same engrossed, have the correct amount to stamp duly adjudicated by
Superintendent of Stamps and thereafter return the same duly signed and executed on
behalf of the successful bidder, all at his own ~ost within two weeks from the receipt of the
approved draft.
B-10:
Payment Terms
The Successful Vendor will furnish security money in favour of the Director, LBSNAA for an
amount of 8% of the annual contract value which will be valid from the date of Purchase
order/Contract to sixty days beyond the date of.. completion of all contractual obligations.
Security money will be in shape of an Account Payee Demand Draft/ Fixed Deposit Receipt
from a Commercial bank/ Bank Guarantee from a Commercial bank in the Security Money
Deposit Form (as per Format given as Annexure-Vll). The successful vendor will submit the
said Security deposit with-in 2-3 weeks from the date of Purchase order/Contract,

on quarterly basis on satisfactory provisioning of services during that quarter.

Rupees as per following schedule.
3. The work shall be executed as per the direction and to the satisfaction of the LBSNAA.
4.
In case the services are not found satisfactory, the LBSNAA shall have the right either to
reject the Contract or deduct part payment from the bill or from the security money.
5.
The LBSNAA decision as regards the rejection shall be final and binding on the
Contractor.
B-11 : Corrupt or Fraudulent Practices
a) Vendors shall observe the highest standard of ethics during the period of contract.
b) LBSNAA will reject a proposal for award if it determines that the Bidder recommended
for award has attended or engaged in corrupt or fraudulent practices in competing for
the contract in question.
B-12 : Price Validity and Scope
1.
Bids should be valid for a minimum period of 120 days from the date of opening of the
tender. However, the rates offered should be valid for 36 months from the date of
agreement.
2.
Prices quoted should be exclusive of all taxes and duties applicable. All applicable taxes
and duties will be payable as per applicable rates pertaining to the period of payment.
3.
The rates should be quoted by the bidders in Indian Currency and payment shall be
made to successful bidders in Indian currency only.

Contractor mentioned in the tender shall be the address to wh ich all communications
addressed to the Contractor shal l be sent, unless the Contractor has notified a change by
a· separate letter containing no other co.mmunication and sent by registered post,

of any omission to notify a change of address in the manner aforesaid .

issued to the contractor by the Director or any other officer authorized by him on his
behalf and all such communications and notices may be served to the Contractor either
by Registered Post or speed post or by ordinar),' post or by hand delivery or by telephone

LBSNAA has already procured certain Audio & Video equipments which has been
installed I commissioned and is under warranty I maintenance with the original vendor.
The date of warranty is mentioned in the last column of Section 'F'. As soon as the
warranty of those equipments expires, the same will be included in AMC with no

Legal Requirements (Contract)
C-1 :
Force Majeure Clause
1. If at any time, during the continuance of this Contract, the performance in whole or in part
by either party of any obligation under this Contract be prevented or delayed by reason of:

acts of public enemy, civil commotion, sabotage, explosions
effects of flood, epidemics, quarantine restrictions, freight embargoes
general strikes, Bandhs

Hereinafter referred to as EVENT, neither party shall, by reason of such EVENT, be entitled to
terminate this Contract, nor shall any party have any claim to the damages against the other
in respect of such non-performance or delay in performance, provided that notice of
happening, of any such EVENT is given by either party to the other within 7 (seven) days
from the date of occurrence of the EVENT.
3.
If a Force Majeure EVENT occurs, the firm shall promptly notify LBSNAA in writing of such
conditions and the cause thereof. Unless otherwise directed by the firm in writing, the firm
shall continue to perform its obligations under the contract as far as reasonably practicable
and shall seek all reasonable alternative means for performance not prevented by the Force
Majeure EVENT.
4.
Expected Work and deliveries under this Contract shall resume as soon as practicable after
such EVENT comes to an end or ceases to exist. The decision of LBSNAA as to whether the
situation has become normal or not, shall be final and conclusive.
5.
If the performance in whole or part of any obligation under this Contract is prevented or
delayed by reason of any such EVENT for a period exceeding 60 (sixty) days, either party ·
may, at his/their option, terminate this Contract.
C-2 : Disputes and Arbitration
.
1. · In case any dispute or difference arises out of .or in connection with or the carrying out of
works (whether during the progress of the works or after their completion and whether
before or after the termination, abandonm~nt or breach of contract) except as to any of the
accepted matters, provided hereunder, the parties hereto, shall first endeavor to settle such
disputes of differences amicably. All disputes can be addresses to Joint Director(E&C) who
will take decision after hearing both the parties.
2.
If both the parties fail to reach such amicable settlement, then either party (the Purchaser or
Contractor) may (within 28 days of such failure) "give a written notice to the other party
requiring that all matters in dispute or difference be arbitrated upon. Such written notice
shall specify the matters which are in difference or differences of which such written notice
has been given and no other shall be referred to the arbitration of a single arbitrator, to be
appointed by both the parties or in case of disagreement as to the appointment of a single
arbitrator, to that of two arbitrators, one to be appointed by each party or in case of said
arbitrators not agreeing then, to the umpire to be appointed by the arbitrators in writing
before entering upon the references. Provisions of Indian Arbitration and conciliation Act,
1996 or any statutory modification or re-enactment thereof and rules framed there under

from time to time shall apply to such arbitration.
3. Venue of arbitration shall be Mussoorie/Dehradun.
4.
The arbitrator or arbitrators appointed under this Article shall have the power to extend the
time to make the award with the consent of parties.
5.
Pending reference to arbitration, the parties shall make all endeavors to complete the work
in all respects and all disputes, if any will finally be settled in the arbitration.
6.
Upon every or any such references to the arbitration, as provided herein the cost of and
incidental to the reference and Award respectively shall be at th~ discretion of the
Arbitrator, or the umpire, as the case may be.
7.
The award of Arbitrator or Arbitrators, as the case may be, shall ,be fina l and binding on the
parties. It is agreed that the Contractor shall not delay the carrying out of the works by
reason of any such matter, question or dispute being referred to arbitration, but shall
proceed with the works with all due diligence. The Purchaser and the Contractor hereby also
agree that arbitration under this clause shall be the condition precedent to any right of
action under the contract except for as provided for in the Tender.
C-3 :
Applicable Law
1. The agency shall be governed by the laws and procedures established by Govt. of India,
within the framework of applicable legislation and enactment made from time to time
concerning such commercial dealings/processing.
2.
All disputes in this connection shall be settled in Dehradun jurisdiction only.
3.
LBSNAA reserves the right to cancel this tender or modify the requirement without assigning
any reasons. LBSNAA will not be under obligation to give clarifications ·for doing the
aforementioned.
4.
LBSNAA reserves the right to keep a panel of qualified bidder(s).
5.
LBSNAA reserves · he right that the work can be allocated to more than one vendor and
maximum three vendors.
6.
LBSNAA also reserves the right to relax any of the terms & conditions of the tender.
7.
LBSNAA without assigning any further reason can reject any tender(s), in which any
prescribed condition(s) is/are foun d incomplete-in any respect.
8.
LBSNAA also reserve the right to awa ~ work order on quality/Technical basis, which
depends on quality/capability of the system and infrastructure of the firm. Bidder(s) are,
therefore, directed to submit the tender carefully along with complete Technical features of
the products/systems as well as other documents required to access the capability of the
firm .
9.
All procedure for the purchase of stores laid dqwn in GFR and DFPR shall be adhered-to
strictly by the LBSNAA and subordinates and Bidders are bound to respect the same.

1. The decision of LBSNAA arrived at as per above will be final and representation of any

kind shall not be entertained on the above. Any attempt by vendor to bring pressure
towards LBSNAA decision making process, such vendors shall be disqualified for
participation in the present tender and those vendor may be liable to be debarred from
bidding for LBSNAA tenders in future for a period of three years.
2.. In the event the vendor's Company or the concerned division of the Company is taken
over/bought over by another company, all the obligations and execution responsibilities
under the agreement with LBSNAA, should be passed on for compliance by the new
company in the negotiation for their transfer. The vendor should keep LBSNAA informed
about such changes well in advance.
3. All empanelled vendors will automatically agree honoring all aspects of fair trade
practices in executing the purchase orders placed by LBSNAA by responding to this
tender.
4. In case the successful vendor found in-breach of any condition(s) of tender, at any stage
during the course of contract period, the legal action as per rules/laws, shall be initiated
against the vendor and EMO/Performance Security Deposits shall be forfeited, besides
debarring & Black listing the vendor concerned for at least 3 (three) years, for further
dealing with LBSNAA.
5. The vendor should not assign or sublet the empanelment or any part of it to any other
agency in any form. Any such act shall result in termination of empanelment and
forfeiture of Security Deposit.
6. LBSNAA may, at any time, terminate the empanelment by giving written notice to the
~mpanelled vendor without any compensation, if the empanelled vendor becomes
bankrupt or otherwise insolvent, provided that such termination will not prejudice or
affect any right of action or remedy which has accrued.
7.
LBSNAA reserves the right to accept/reject any bid, to cancel/abort the tender process
and/or reject all bids at any time prior to award of Contract, without thereby incurring
any liability to the affected agencies, of any obligation to inform the affected agencies
on the grounds of such action taken by LBSNAA.
8. No deviations from these terms and conditions will be accepted; violation there off will
lead to rejection of the bid and forfeiture of EMO.
C-5 :
LBSNAA's Right to accept any Bid a d to reject any or all Bids

Director, LBSNAA reserves the right to accept o·r reject any bid's in part or full, and to annul
the bidding process and reject all bids at any time prior to award of Contract, without
thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform
the affected Bidder or Bidders of the grounds for LBSNAA's action.
C-6 :
Indemnity
The selected vendor shall indemnify the LBSf\JAA against all third party claims of
infringement of patent, trademark/copyright or industrial design rights arising from the use
of the supplied software/ hardware etc. and related services or any part thereof.
C-7:
Termination for Insolvency
LBSNAA may at any time terminate the order I contract by giving written notice of four
weeks to the Supplier, without any compensation to the Supplier, if the Supplier becomes
bankrupt or otherwise insolvent.

SERVICE LEVEL AGREEMENT FOR E&C SERVICES
Criticality of Services:
Criticality level-1:
Any fault in the AVAYA IP-PBX Exchange system must be addressed immediately so that the AVAYA
IP-PBX Exchange system is in working condition round the clock (24x7).
A critical problem, which affects large number of officers & employees/participants/officer
trainees/Guests.
Any AV equipment failure issue installed in Lecture halls/Conference halls/Auditoriums /Meeting
rooms/Guest houses/Gymnasium/Hostels.
A critical problem, which affects the class/ conference/ seminar/Meeting/users e.g. Video
Projector, Projection Screen, Audio equipments- Dias Microphones, Podium Microphone,
Guest speaker Microphone, Participant Microphones, Amplifiers, Speakers, Sound Mixture,
stage lights, Public address system etc.
The Photocopy Machines failure issue installed in various offices/Sections of the Academy,
which immediately affects to:
Course participants/officer trainees/Officers/Section work etc.
RESOLUTION/ RESPONSE TIME:
Resolution time is the total time taken by the AMC Service Provider between registering the
complaint to Vendor and rectifying the fau lt. This time includes time taken to, diagnose, repair I
replace the faulty component/module/device and accessories of equipment. The AMC Service
Provider shall ensure that the faulty network AV equipment/IP-PBX/Photocopy machines are
repaired/brought back to service within specified resolu~ion time, failing which the down time and
non-performance deduction clauses wiil be applicable and the AMC Service Provider shall be bound
with the decision of the LBSNAA in-charge of the site in this regard.
The resolution time shall not exceed the stipulated time for mission critical equipments (Criticality-I &
II), units and components, as mentioned in the hart given below.

be made available as per the requirement and that we shall perform all the incidental
services.

I/We further undertake to report to the LBSNAA, Mussoorie immediately after we are
informed but in any case not later than 15 days, if any firm in which Proprietor
/Partners/Directors are Proprietor or Partner or Director of such a firm which is
blacklisted/banned/suspended in future during the currency of the Contract with you.
7.
We hereby offer to provide the required AMC at the rates mentioned in the Financial Bid.

DEED OF AGREEMENT
To be executed at the time of entering into agreement before placing order. Each page of this form
shall be signed by the tenderer for acknowledging that he/she has seen the terms and conditions
of the agreement.

OF AUDIO VIDEO EQUIPMENTS, IP-PBX AND PHOTOCOPY MACHINES INSTALLED IN LBSNAA
CAMPUS, MUSSOORIE as listed in Section 'E' of this Tender.
Now this indenture witness that in consideration of the promise, it is mutually agreed and declared
between parties hereto as follows.
1.
The contractor agrees to undertake for Annual Maintenance Contract of all the equipment's
listed in Section 'E' of the this Tender as per the requirement as agreed to in their bid letter
no. -----------------------------dated -------- ------------------at the rates quoted by him/them. The
rates are inclusive of all the levies taxes like sales tax; Value Added Tax and excise duty
freighted.
2.
The Contractor agrees to provide the AMC services as per SLA clause B-1point1.
3.
The AMC rates mentioned in this contract for the period ............ .. to ............. will be valid for
three years period from the date Qf purchase order. This contract may be renewed for a
further period of one year at a time and maximum for three years, provided LBSNAA. is
satisfied with the services of the Contract@r. The LBSNAA will have right to terminate the
contract at any time by giving one months' notice in writing if services are . not found
satisfactory. The contractor shall agree that the penalty shall be imposed according to SLA
Section 'D' of this tender.
4.
The successful bidder will submit an undertaking that he will abide by all the terms and
conditions of tender documents and he will adhere to all the service related terms and
conditions mentioned in Service Level Agreement (SLA).
5.
The Contractor agrees to submit the 8% Security Money deposit of the Annual Contract
value in favour of the Director,LBSNAA, Mussoorie and valid form the date of Purchase
order/Contract to sixty days beyond the date of completion of all contractual in shape of an
Account Payee Demand Draft/Fixed deposit/Bank Guarantee from a Commercial Bank. The

Contractor agrees to submit the said Security deposit with-in 2-3 weeks from the date of
Purchase order/Contract.
6.
The security deposit paid by the contractor for due and faithful performance of the contract
by the contractor of;all and several covenants herein contained of his part to be observed
with full power. Deputy Director in charge of the E&C Section on behalf of the LBSNAA will
be entitled to appropriate the said sum to any damage, penalties and other sums which the
contractor may be required to pay in case the contractor fails to perform /fulfill or to keep
and observe all or any of the said conditions of the agreement on his part herein after
contained .
7.
That all disputes , differences and questions arising out of or in any way touching or
concerning this agreement or subject matter thereof or the representative rights , duties or
liability of the parties shall be referred to the sole arbitration of the Director, LBSNAA or any
person nominated by him. The arbitration shall be in accordance with the Arbitration and
Conciliation Act, 1996, The arbitrator shall be entitled to extend the time of arbitration
proceedings with consent of the parties. No part of the agreement shall be suspended on
the ground of pending arbitration proceedings.
8.
The Security Deposit is liable to be forfeited to the LBSNAA without any prejudice to any
other rights and remedies of LBSNAA in case the contractor fails to undertake the contract
work, as per the work orders and as per the terms and conditions given in tender schedule
during the currency of the contract including the extended period if any.
9.
That the tender schedule, instructions to the bidders and terms and conditions, etc shall also
form part of the agreement.
10.
That the contractor acknowledges that he has fully acquainted him-self with all the terms
and conditions and he/she shall not plead ignorance of the same.
11.
In witness whereof, the contractor has set his hand and the LBSNAA has caused for and on
